Interviewee Release Agreement

Project: Multimedia informational project about different occupations presently entitled “Mindopia”

Materials: my name, voice, performance, appearance, image, photograph, likeness and biographical information as recorded and/or visually identified and/or otherwise used in any manner or media, including without limitation on film, video and/or audio tape, still photography, and/or other formats now or hereafter known or devised, edited, dubbed, modified, reproduced, altered, combined with other material, and any materials based thereon or derived therefrom.

In consideration of the possible inclusion of the Materials in the Project and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, I, the undersigned, hereby grant and assign to Mindopia Holdings, LLC, its affiliates, successors, licensees and assignees (collectively, “Company”), all rights, title and interest of any kind or nature (including without limitation the copyright as a work made for hire or otherwise, such Materials having been specially ordered or commissioned by Company for use as part of an audiovisual work) in and to the Materials and the Project, exclusively, unconditionally and irrevocably, without restriction, throughout the universe in perpetuity, in any and all media now or hereafter known or devised, including without limitation all forms of television, DVDs and other videograms, print publications and the internet, to be distributed, exhibited, transmitted, reproduced, edited, altered, published, licensed, sold and/or otherwise used and disposed of as Company will in its sole discretion determine, including without limitation in any and all advertising, packaging, marketing, promotion and/or publicity in connection therewith, without any liability to me, and no compensation will be payable to me at any time in connection therewith. I hereby waive all rights of “droit moral” or similar rights, and I will have no consultation or approval rights in connection with the rights granted by me hereunder.

I represent and warrant that: (i) I have the sole and exclusive right to enter into and perform this Agreement and to grant the rights granted herein, (ii) I am over 18 years of age (or if under 18, my parent or legal guardian will sign below to signify consent on my behalf to the terms and conditions of this Agreement), (iii) the rights granted hereunder will not conflict with or violate any commitment, agreement or understanding I have or will have to or with, nor infringe upon any rights of, any person or entity, (iv) the consent of no other party is required for Company to exercise its rights hereunder, and (v) no amounts will be payable to any collective bargaining organization, union, or any other third party in connection with the rights granted in this Agreement. I understand Company is conducting such activities in express reliance upon the foregoing. I will not have, bring or support any claims, actions or demands against Company (including without limitation claims based on invasion of privacy, defamation or right of publicity) arising out of the Project, the Materials or this Agreement, and I hereby release, indemnify, hold harmless and discharge Company from and against any and all claims, actions, demands, damages, losses, costs, expenses and/or liabilities of any kind or nature (including without limitation attorneys' fees) arising out of or in connection with the Materials, the Project and/or the inaccuracy or breach of any representation, warranty or undertaking I have made herein.

Company will not be obligated to produce, release or use the Materials or the Project or to continue such production or release or use if commenced. My sole remedy for Company's breach, termination or cancellation of this Agreement or any term hereof will be an action at law for damages, and I agree that I will not have and I hereby irrevocably waive any and all right to seek and/or obtain rescission or equitable or injunctive relief, to terminate or rescind this Agreement and/or to enjoin or restrain the distribution or exhibition of the Project or any elements thereof or rights therein. The grant of rights, representations, warranties and indemnities hereunder will survive the expiration or other termination of this Agreement. This Agreement (i) will be governed by the laws of the State of California applicable to agreements made and entirely performed therein, (ii) may be licensed or assigned by Company, in whole or in part, to any persons or entities whatsoever, and upon such assignment Company will be released from its obligations hereunder, (iii) may not be assigned by me, in whole or in part, (iv) will inure to the benefit of and be binding upon the parties' respective successors, licensees and permitted assigns, and (v) reflects the complete understanding between the parties and supersedes all prior discussion and understandings, oral or otherwise, between the parties and cannot be modified except in a writing signed by both parties.

I hereby waive all rights and release and discharge the Company from, and shall neither sue nor bring any proceeding against Company for, any claim, demand or cause of action based upon, arising from or related to Company's use or exploitation of the Images, including, without limitation, claims for libel or invasion of right to privacy, publicity or personality.
